Terms of Service

Welcome to Garden State Ledger (the "Service"), operated by Garden State Ledger ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service Does

Garden State Ledger helps New Jersey LLC owners track state compliance obligations and deadlines, pre-fill state forms with their business information, scan documents and (optionally) their own Gmail inbox for filing-related information, generate a simple business website, and ask an AI assistant questions about New Jersey LLC compliance.

The Service does not file anything with the State of New Jersey or any other government agency on your behalf. It helps you understand, prepare, and organize your filings. You are responsible for reviewing and submitting all filings yourself through the official state channels.

2. Not Legal, Tax, or Professional Advice

The Service provides general information and organizational tools only. Nothing in the Service — including AI-generated answers, pre-filled forms, or deadline calculations — constitutes legal, tax, accounting, or other professional advice. Laws change and every business is different. You are solely responsible for verifying deadlines, forms, and filings, and you should consult a qualified attorney or accountant for advice about your specific situation.

3. Accounts

  • You must provide a valid email address and keep your account credentials secure.
  • You are responsible for all activity under your account.
  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • One subscription covers one business profile unless we state otherwise.

4. Subscriptions and Billing

  • The Service is offered as paid annual subscription plans (currently Basic at $99/year and Tailored at $199/year). Prices may change for future renewal periods with advance notice.
  • Subscriptions renew automatically each year unless you cancel before the renewal date.
  • Upgrades take effect immediately; we charge the prorated difference for the remainder of your current term.
  • Downgrades take effect at your next renewal date; you keep your current plan until then.
  • Cancellations take effect at the end of your current paid period. You keep access until then and are not charged again. We do not offer refunds for partial periods, except where required by law.
  • Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms.
  • If a payment fails, we may suspend paid features until the payment is resolved.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload documents or connect inboxes you do not have the right to access
  • Attempt to access another user's data
  • Reverse engineer, scrape, or overload the Service
  • Resell or share your account access
  • Use the Service to generate misleading, fraudulent, or harmful content

We may suspend or terminate accounts that violate these terms.

6. Gmail Connection

If you connect a Gmail account, you grant the Service read-only access so it can find filing-related emails at your request. You can disconnect at any time from the app, which deletes your stored connection credentials. The Service never sends, deletes, or modifies your email.

7. AI Features and Usage Limits

The Service uses AI to scan documents, extract information, generate website copy, and answer questions. AI output can be wrong or incomplete — always review it before relying on it. Paid plans include monthly AI usage limits (for example, a set number of scans, website generations, and assistant questions per month), which reset each month. Limits may change with notice.

8. Your Content

You retain all rights to the business information, documents, and other content you provide. You grant us a limited license to process that content solely to operate the Service for you. We do not claim ownership of your content and do not use it to train AI models.

9. Intellectual Property

The Service itself — its design, code, logos, and original content — is owned by us and protected by intellectual property laws. These Terms do not give you any rights to our branding or software except the limited right to use the Service as intended.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEADLINE CALCULATIONS OR AI OUTPUT WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR MEETING YOUR OWN LEGAL OBLIGATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, FINES, PENALTIES, OR MISSED FILINGS ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ends; sections that by their nature should survive (such as disclaimers and liability limits) survive.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version and update the "Last updated" date. If changes are material, we will notify you in the app or by email. Continued use after changes take effect means you accept the updated Terms.
